Mbrane to Acquire Veriprise
Mbrane announced a definitive agreement to acquire Veriprise Corporation in a purchase of assets acquisition for 1,500 shares of Convertible Junior Preferred Stock, convertible into 1.5 million shares of common stock. The sale is expected to close in May 2001.
The acquisition of Veriprise complements Mbrane’s Mbrane Touchpoint product. Veriprise, a privately held company based in Alpharetta, Ga., extends corporate data and business applications to wireless devices, including smart phones, RIM and Motorola two-way pagers and wireless PDAs.
The addition of Veriprise accelerates the inclusion of Java, UNIX, e-mail and an advanced communication gateway to the Touchpoint platform. The combination provides comprehensive interoperability with a multitude of wireless communication technologies and business applications, such as sales force automation, supply chain management, decision support, e-mail and two-way pager support.
Mbrane will maintain an office in the Atlanta area. Twenty-two employees will transfer to Mbrane, including a core team of engineers, business development and sales people.
